1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website and services provided by Doze Dental, LLC, a Maryland limited liability company located at 2445 Holly Ave. Apt. 242, Annapolis, MD 21401 ("Doze Dental," "we," "us," or "our"). By accessing, browsing, or submitting any information to dozedental.com (the "Service"), you ("User" or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

You represent that you are at least 18 years of age. If you are using the Service on behalf of a minor, dependent, or person under your care, you represent that you have the legal authority to do so and to provide information about that person.

2. Nature of the Service — Important Disclaimers

Doze Dental is NOT a dental practice, medical provider, or healthcare entity. We do not provide dental services, medical advice, diagnosis, treatment, prescriptions, or clinical recommendations of any kind.

Doze Dental operates a referral and matching service that connects individuals seeking dental care with independent, licensed dental providers ("Providers") who may be able to serve their needs. We do not:

All clinical care, treatment decisions, sedation administration, and medical responsibility rest solely with the independent licensed Provider you choose to engage. Your relationship with any Provider is independent of Doze Dental. We are not party to that relationship, and we are not responsible for the acts, omissions, or outcomes of any Provider.

Emergencies: If you are experiencing a dental or medical emergency, call 911 or go to the nearest emergency department. Do not use this Service for emergency care.

3. How the Matching Service Works

When you submit information through our intake form, you authorize us to:

We do not control whether or when Providers contact you, what they offer, the cost of any consultation or treatment, or whether you will ultimately receive care. Matching is based on stated location and treatment category; it is not a clinical recommendation.

5. Cost of the Service

The matching service is provided free of charge to patients and care coordinators. Doze Dental is compensated by Providers in our network through subscription fees, per-lead fees, or featured listing fees. This compensation does not affect the cost of clinical care; any fees for dental consultations, sedation, treatment, or related services are set solely by the Provider and are your responsibility.

6. Provider Subscriptions and Featured Listings

If you are a dental practice, sedation provider, or related healthcare entity ("Provider") using the Service through a subscription or paid listing, additional terms apply.

Subscription Period

Provider services are available on a recurring subscription basis (monthly or annually). Subscriptions automatically renew at the end of each billing period unless cancelled. You will be billed in advance using the payment method on file.

Cancellation

You may cancel your subscription at any time through your account or by emailing dozedental@dozedental.com. Cancellation takes effect at the end of the current billing period. You will not receive a refund for fees already paid for the current period.

Billing and Fees

You agree to provide accurate billing information and a valid payment method. We may modify subscription fees at our discretion with at least 30 days' notice; continued use after the change constitutes acceptance.

Refunds

Subscription fees are non-refundable except where required by law. Refund requests may be considered case-by-case at our sole discretion.

Provider Obligations

Providers represent and warrant that they hold all required active licenses, malpractice insurance, and credentials, and that they will comply with all applicable laws including HIPAA, TCPA, state dental practice acts, and any sedation-related regulations. Doze Dental may suspend or terminate any Provider account for breach, complaints, or quality concerns at our sole discretion.

8. Privacy and Health Information

Your use of the Service is governed by our Privacy Policy, which describes how we collect, use, and share information about you. By using the Service, you consent to those practices.

Doze Dental is not a "covered entity" or "business associate" under HIPAA. The information you submit through our intake form (name, contact details, treatment category) is not Protected Health Information under HIPAA in our hands. Once that information is transmitted to a Provider, the Provider's own HIPAA obligations apply.

Do not submit detailed medical records, diagnoses, prescription histories, or sensitive health information through our intake form. We do not need it, and submitting it does not improve the matching process.

9. Intellectual Property

All content, branding, logos, text, graphics, design, and code on the Service are owned by Doze Dental, LLC or our licensors and are protected by U.S. and international copyright and trademark laws. You may not reproduce, distribute, modify, or create derivative works without our prior written permission. "Doze Dental" and any associated logos are trademarks of Doze Dental, LLC.

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade.

We make no warranty that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, or error-free; (c) information available through the Service is accurate, complete, or current; (d) Providers in our network will accept you, contact you, or provide care of any particular standard.

11. Limitation of Liability

Doze Dental is not liable for the clinical care you receive. Any complaint, injury, or dispute arising from dental or sedation services must be addressed with the Provider, their malpractice insurer, and, where applicable, the relevant state dental board.

To the maximum extent permitted by law, in no event shall Doze Dental, LLC, its members, employees, agents, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for personal injury, pain and suffering, emotional distress, loss of profits, loss of data, loss of goodwill, or business interruption, arising out of or in connection with your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or relating to the Service shall not exceed the greater of: (a) the amount you paid to Doze Dental in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100). For patient users who pay nothing, this cap is $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Doze Dental, LLC, its members, officers, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; (d) any false, misleading, or unauthorized information you submit; or (e) any dispute between you and a Provider.

13. Third-Party Links and Services

The Service may contain links to third-party websites, including Provider websites, social media platforms, scheduling tools, or payment processors. We do not control and are not responsible for the content, policies, or practices of any third-party site or service. Use of any third-party service is at your own risk and subject to that party's terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason including but not limited to violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, governing law, and dispute resolution) will survive.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Anne Arundel County, Maryland, and you consent to personal jurisdiction and venue there.

Before filing any legal action, you agree to first contact us in writing at dozedental@dozedental.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

16. Changes to These Terms

We may modify these Terms at any time at our sole discretion. If we make material changes, we will provide notice by posting the updated Terms with a new "Last updated" date and, where reasonable, by email or on-site notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Miscellaneous

Severability: If any provision of these Terms is held unenforceable, the remainder will remain in full force and effect.

Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Doze Dental regarding the Service.

Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms freely.

No Agency: Nothing in these Terms creates an agency, partnership, joint venture, employment, or fiduciary relationship between you and Doze Dental or between you and any Provider.
